MCA and ROC compliance for companies and LLPs

Companies Act and LLP Act compliance is continuous — annual returns, board processes and event-based filings. We keep your records, registers and MCA filings current, so you are always ready for a bank, investor or auditor.

Small ROC defaults become large problems

ROC defaults attract additional fees that accrue daily, can lead to director disqualification and, if left long enough, to a company being struck off.

Our secretarial team manages the full MCA calendar, maintains statutory registers and minutes, and handles event-based filings as your company changes — allotments, director changes, charges and more.

  3. Execute

Filings, submissions, documentation and negotiations handled by one coordinated team.

  4. Sustain

Calendars, reviews and monitoring so issues are caught early — and defended if they arise.

FAQ

MCA Regulations — common questions

What are the key annual filings for a private limited company?

At a minimum: financial statements in Form AOC-4 within 30 days of the AGM, the annual return in Form MGT-7 or MGT-7A within 60 days of the AGM, and director KYC. Many companies also have DPT-3, MSME-1 and ADT-1 obligations.

What are the annual filings for an LLP?

An LLP files its Statement of Account & Solvency in Form 8 by 30 October and its Annual Return in Form 11 by 30 May each year — even if it had no business activity.

What is the penalty for late ROC filings?

Late filings attract additional fees that accrue for every day of delay, and continued defaults can lead to penalties, director disqualification or strike-off. We can help you regularise past defaults.

Can a struck-off company be revived?

In many cases, yes — through an application to the National Company Law Tribunal for restoration, after bringing pending filings up to date. We assess eligibility and handle the process.
