The right structure makes funding, expansion, succession and exit simpler. We design and implement structures that work across company law, tax and FEMA — not just on paper.
Which entity you use, who holds what and where the business and its IP sit will shape every fundraise, acquisition and exit that follows. Fixing a structure later is always more expensive than getting it right early.
We look at your commercial goals, tax position and regulatory constraints together, then implement the structure with the filings, valuations and documentation it needs.
Scope
Choosing between a private limited company, LLP, OPC or branch, and incorporating with the right capital, objects and shareholding from day one.
Holding company and subsidiary structures that separate businesses, ring-fence risk and prepare for investment.
Converting partnership firms and private companies into LLPs, LLPs into companies, and private companies into public companies.
Schemes of arrangement — including fast-track mergers for eligible companies — with tax-neutrality and stamp duty planning.
Structures that separate ownership from management, protect family wealth and plan the next generation’s role.
Indian subsidiaries of foreign companies and overseas investments by Indian businesses, in line with FEMA.
Voluntary liquidation and strike-off of dormant companies and LLPs, cleanly and with the required filings.

We start with your documents, not assumptions — filings, financials, agreements and any notices.

Filings, submissions, documentation and negotiations handled by one coordinated team.
Calendars, reviews and monitoring so issues are caught early — and defended if they arise.
FAQ
It depends on your funding plans, how profits will be distributed, your compliance appetite and your tax position. A private limited company is usually preferred if you plan to raise equity; an LLP can suit professional and closely held businesses. We’ll compare both on your facts.
A scheme through the National Company Law Tribunal typically takes several months, depending on creditor and shareholder approvals and the bench’s timelines. The fast-track route for eligible small companies and holding–subsidiary mergers is usually quicker.
Many restructurings can be done tax-neutrally if specific conditions are met, but stamp duty, GST and valuation rules still need planning. We map the tax impact before any step is taken.
In most sectors, yes, under the automatic route. Some sectors have caps or need government approval, and investors from countries sharing a land border with India need prior approval. We confirm the position for your sector.
